CarFast — Terms of Service for Business Owners

These Terms are between Georgios Pamfilis of Stefanos, trading as pamfili.co, sole proprietorship, ΑΦΜ 300145978, ΓΕΜΗ 166203351000 (EUID ELGEMI.166203351000), of [REGISTERED ADDRESS], Greece ("we", "the Platform") and the business that creates a CarFast account ("you", "the Business Owner").

1. Definitions

2. Acceptance

2.1 You accept these Terms, including the DPA, by ticking the acceptance box when creating your account. We record the version accepted, when, and from which account; each is available from your account at any time.

2.2 You confirm you are a business acting for purposes relating to your trade, and that the person accepting is authorised to bind you. These Terms are not a consumer contract.

2.3 You must be at least 18. You are responsible for your Authorised Users as for yourself.

3. The Service

3.1 CarFast lets you run a vehicle-rental business: fleet, availability, pricing, bookings, customers, rental agreements, invoicing, payments, staff, and documents.

3.2 Two booking engines. With CarFast you get:

3.3 Booking integrations. Bookings you receive through other channels — Arma and similar — are synced into CarFast from those channels' emails. That sync parses the emails with an AI provider, listed as a sub-processor in the DPA, to identify each booking and extract its details. You choose which integrations are connected and may disconnect one at any time. Bookings through RentFast need no integration.

3.3a Chat and translation. You and a Customer can message each other about a booking through the Service, by web and by email. Where you turn translation on, messages and emails are translated by an AI provider, listed as a sub-processor in the DPA.

3.3b Document signing. You can send a document — a rental agreement, for example — for a Customer's electronic signature through the Service, which records who signed what and when.

3.4 Travel agents. You may invite travel agents you already work with to refer Customers to you, and give them access for that purpose. The invitation is yours, sent on your behalf.

3.5 Your Customers' bookings are contracts between you and them, whichever engine or channel they came through. We are not party to any rental. Your rental terms, prices, vehicles, insurance and performance are yours. We provide the software and, for RentFast, the channel.

3.6 We may change, add or withdraw features. Where a change materially reduces the Service you pay for, clause 12 applies.

4. Your obligations

4.1 You will use the Service lawfully and in compliance with the laws that apply to your business, including vehicle-rental, consumer, tax and data-protection law.

4.2 You are the controller of your Customers' personal data and responsible for a lawful basis to collect it, for your own privacy notice to them, and for their rights. We are your processor under the DPA. You warrant that personal data you enter into the Service was collected lawfully.

4.3 Your Customers' terms are yours. You write and publish your own terms and privacy notice to your Customers — through the legal pages we provide or elsewhere — and keep them accurate. We do not write them and they are not ours.

4.4 You will include in them the current Network Paragraphs: short statements telling your Customers who operates the software, that their booking is with you, that a RentFast account is separate, and that their data is not sold. We notify changes under clause 12; you bring your documents up to date within [30] days of a change taking effect. Where you publish through the legal pages we provide, we insert the current paragraphs for you.

4.5 You will keep your credentials secure and tell us immediately of any unauthorised use.

4.6 You will not use the Service to collect or store payment-card numbers. Card data is handled by the payment provider only.

4.7 You will invite as a travel agent only an agency you already have a business relationship with, and you warrant you are entitled to send the invitation.

5. Fees and commission

5.1 What you pay for

| | basis | |---|---| | CarFast software | [CONFIRM — included with the RentFast channel / subscription per the Pricing Tables] | | Bookings through RentFast | commission under 5.2, plus any upsell margin under 5.4 | | Bookings through your personalised booking engine | 5.6 | | Booking integrations other than RentFast — AI parsing of channel emails | metered per booking synced per the Pricing Tables, priced per channel from provider token pricing and parsing difficulty — 5.8 | | Translation of emails and chat messages — AI | metered per the Pricing Tables — 5.8 | | Document signing — e.g. the rental agreement | per document per the Pricing Tables — 5.8 | | Referral commission between Business Owners and travel agents | 5.7 |

5.2 RentFast commission — 10% of the Channel Price

5.2.1 For every booking concluded through RentFast we charge a commission of ten per cent (10%) of the Channel Price for the booking — the price you set for the vehicle on the RentFast channel (5.3). A booking that reaches you from the guest portal of a property in the Network, or from any other RentFast surface, is a booking concluded through RentFast and carries this commission. The commission is calculated on the Channel Price and on nothing else: not on the Sold Price, and not on any upsell margin under 5.4.

5.2.2 What the commission pays for. RentFast is a channel we operate and promote at our cost: advertising; building and maintaining the Network; onboarding and networking hotels, taxi operators, restaurants and other businesses whose guests and customers become your bookings; and the booking engine, the customer portal and the systems behind them. The commission funds that, and is charged only on bookings the channel actually brings you.

5.3 Pricing channels and the Channel Price

5.3.1 In CarFast you set the price at which each vehicle is offered on the RentFast channel, by configuring a pricing channel. You may set it equal to your own price, or apply a markup — for example +20% — or a different price altogether. The resulting figure is the Channel Price, and it is yours to set and change.

5.3.2 You acknowledge that the price a Customer sees on RentFast may therefore differ from the price on your personalised booking engine or elsewhere, and that the Channel Price is the figure on which commission is calculated.

5.3.3 The Channel Price is the gross price for the vehicle for the rental period. [CONFIRM whether options — extra driver, child seat, CDW, delivery — are inside the Channel Price and commission base, or priced separately and commission-free. The Icarian Wheels price list has delivery at €25, extra drivers €5/day, CDW €15/day, baby seat €3/day.]

5.4 Upsell margin — our pricing above your Channel Price

5.4.1 We price the channel. The Channel Price is the price you set; the price a Customer is offered on RentFast is set by us, using automated pricing based on supply and demand — dates, availability, season, booking lead time and similar factors — and we will seek to offer your vehicle at or above your Channel Price, never below it.

5.4.2 Where a booking is concluded at a Sold Price above the Channel Price, the difference is retained by us in full, in addition to the commission in 5.2. You receive the Channel Price less the commission. You never receive less than that on account of our pricing, and you never pay commission on the upsell.

5.4.3 [COUNSEL: our pricing is set by dates, demand and availability for all customers alike. If it is ever personalised to the individual customer on the basis of automated decision-making, Directive 2019/2161 requires the customer-facing booking page to say so — see the RentFast customer terms §2.3. Nothing in these business terms changes with that; the disclosure is to the Customer.]

5.5 Worked example

| | | |---|---| | Channel Price you set for the vehicle | €50 per day | | Sold Price our pricing achieved on RentFast | €60 per day | | Upsell margin, retained by us (5.4) | €60 − €50 = €10 | | Commission (5.2), 10% of the Channel Price | 10% × €50 = €5 | | You receive | €50 − €5 = €45 per day | | We retain | €10 + €5 = €15 per day |

Where the Sold Price equals the Channel Price there is no upsell margin: you receive €45 of €50, we retain €5. The Sold Price is never below the Channel Price.

5.6 Your personalised booking engine

Bookings concluded through your personalised booking engine (3.2(b)) carry [CONFIRM: no commission — the software fee in 5.1 covers it / a commission of [X]% / included in a subscription].

5.8 Metered services — booking integrations, translation, document signing

5.8.1 Booking integrations. Syncing bookings from the emails of booking channels other than RentFast — Arma, Exer and similar — involves AI parsing of those emails, and is charged per booking synced: once for each booking the integration creates in CarFast, however many emails about that booking we receive and read. An email that does not result in a booking — a reply, a question, a daily summary — is not charged. Bookings arriving through RentFast itself carry no such charge.

5.8.2 How the price per booking is set. Each booking integration has its own price in the Pricing Tables. We set it from two things: the price our AI provider charges us for the tokens the parsing consumes, and the parsing difficulty of that channel's emails — their format, whether the booking is in the body or in an attachment, and how many model calls it takes to read one booking reliably. Two channels may therefore carry different prices, and the price of a channel may change when the provider's token pricing changes or the channel changes its email format. A change applies under 5.12, with the same notice as any other price change, and never to bookings already synced.

5.8.3 Translation. Translating emails and chat messages between you and a Customer involves AI and is charged per the Pricing Tables [per message / per character — DECIDE the unit]. You choose when translation is used.

5.8.4 Document signing. Each document you send for electronic signature through the Service — for example a rental agreement — is charged per document per the Pricing Tables.

5.8.5 Metered charges are itemised on your invoice. The Pricing Tables state the unit and the price for each; there are no undisclosed per-use charges.

5.9 Cancellations, no-shows and refunds

[DECIDE and state: whether commission is due on a deposit you retain after a Customer's cancellation or no-show; whether commission is refunded when you refund a Customer; how modifications that change the price are treated. Icarian Wheels keeps the deposit on cancellation under 30 days; the model must answer whether we take 10% of a retained deposit.]

5.10 Settlement

[DECIDE — depends on the merchant-of-record decision, clause 6.]

5.11 VAT, invoicing, late payment

5.11.1 All amounts are exclusive of VAT, which is added at the applicable Greek rate. We issue invoices to your account email and transmit them to myDATA as Greek law requires.

5.11.2 Overdue amounts bear interest at the statutory rate for commercial transactions. We may suspend under clause 10 after a written reminder.

5.12 Changes to fees

We may update the Pricing Tables at any time — they are published to be kept current. For a service you already use, a price increase applies to you from [30] days after we notify your account email, and you may terminate under clause 11 before it takes effect; a decrease applies at once. A price individually agreed between us in writing prevails over the Pricing Tables for its term. Bookings already concluded carry the rates in force when they were concluded.

6. Payments from your Customers

6.1 Where you connect your own payment-provider account, you are the merchant of record. Customer payments go to you; refunds, chargebacks and disputes are between you, the Customer and your provider. We invoice our commission and upsell margin under 5.10.

6.2 [IF PLATFORM PAYMENTS ARE ADOPTED — Stripe Connect: we collect the Sold Price from the Customer on your behalf, deduct what is due to us, and pay you the balance. Refund authority, timing, chargeback allocation and the Customer's payment terms to be stated here. See the monorepo's docs/carfast/specs/stripe-tenant-payments.md.]

6.3 Whichever applies, the Customer's contract for the rental is with you (3.3).

7. Your data, our data

7.1 Your business data is yours — Customers, bookings, invoices, contracts, documents, vehicles, pricing. We process it as your processor under the DPA and claim no rights in it beyond what providing the Service requires.

7.2 The RentFast account is ours. Where a Customer of yours also holds a RentFast account, that account, its identity and its activity across the Network are operated by us as an independent controller under our own privacy notice. It is not part of your data, is not within your instructions, and is not yours to export, delete or market to (DPA clause 1.2).

7.3 On termination we make your business data available for export in a structured, machine-readable form, and delete it 30 days after termination (DPA clause 8). Greek law requires you to keep invoices and related records for at least five years; exporting before termination is how you meet that duty.

7.4 We may use aggregated, anonymised statistics derived from use of the Service, provided no Business Owner or Customer can be identified.

8. Acceptable use

You will not, and will not allow an Authorised User to:

9. Availability and support

9.1 We aim for the Service to be available continuously but give no availability guarantee. We may interrupt it for maintenance, security or legal reasons, with notice where practicable.

9.2 Support is by email to [email protected] during Greek business hours.

10. Suspension

10.1 We may suspend your access, in whole or part, only on these grounds: (a) amounts overdue more than [14] days after a written reminder; (b) a material breach of clause 4 or 8; (c) a security risk to the Service or to others' data; (d) a legal requirement; (e) an instruction from you that infringes data-protection law (DPA clause 2.3).

10.2 We will give you the reasons in writing at the time of suspension and restore access once the ground is resolved. Suspension of the RentFast channel or a booking integration does not remove your access to your existing records, which you may export at any time.

10.3 Suspension does not relieve you of amounts already due.

11. Term and termination

11.1 These Terms run until terminated. You may terminate at any time from your account or by email; termination takes effect at the end of the current billing period. Bookings already concluded through RentFast are honoured and carry their commission.

11.2 We may terminate on 30 days' written notice with reasons, or immediately for a material breach not remedied within 14 days of notice, or where a suspension ground under 10.1(b)–(e) cannot be resolved.

11.3 On termination clause 7.3 applies.

12. Changes to these Terms

12.1 We may change these Terms on at least 15 days' notice to your account email, stating the change and its reasons. Where a change requires you to adapt your systems, we give longer notice.

12.2 You may terminate before the change takes effect. Continued use after it takes effect is acceptance; we record the version in force for your account.

13. Intellectual property

13.1 The Service, its software, design and documentation are ours or our licensors'. We grant you a non-exclusive, non-transferable licence to use them for your business during the term.

13.2 Your content — vehicle photographs, descriptions, your branding, your documents — remains yours. You grant us a licence to host, display and transmit it as the Service requires, including on RentFast and Network pages where you are listed.

14. Listing and ranking

14.1 On RentFast your listing appears alongside other Business Owners'. The main parameters determining the order of listings are: [DECIDE — e.g. availability for the searched dates, distance from the searched location, the Business Owner's rating], applied equally to all. No listing is ranked higher in return for payment. [P2B Art. 5; finding F27 — must be decided and stated before any page lists more than one Business Owner.]

15. Liability

15.1 Nothing in these Terms excludes or limits liability for fraud, for death or personal injury caused by negligence, for wilful misconduct or gross negligence, or either party's liability to a data subject under Art. 82 GDPR.

15.2 Subject to 15.1, our total liability to you under or in connection with these Terms in any 12-month period is limited to the amounts you paid us in that period.

15.3 Subject to 15.1, we are not liable for loss of profit, loss of bookings, loss of business, or indirect or consequential loss; nor for any rental, your performance of it, or your Customers' claims against you.

15.4 You will indemnify us against claims arising from your breach of clause 4.2 or 8, or from your Customers' claims concerning a rental.

16. General

16.1 These Terms, the DPA, the Network Paragraphs and the Pricing Tables are the entire agreement between us on their subject. If any provision is invalid, the rest remains in force.

16.2 Neither party is liable for failure caused by events beyond its reasonable control.

16.3 You may not assign these Terms without our consent. We may assign them to a successor of our business on notice.

16.4 Notices are by email: to you at your account address, to us at [email protected].

17. Governing law and jurisdiction

These Terms are governed by Greek law. The courts of [SEAT] have exclusive jurisdiction, without prejudice to any mandatory rule to the contrary. These Terms are drawn up in English [and Greek; in case of divergence the [Greek / English] text prevails — DECIDE].
